Juelz — Non-Disclosure & Confidentiality Undertaking · v1-2026-07
Pre-launch investor & partner review. This is a template — the Company should have it reviewed by a legal advisor before relying on it.
By entering this code and signing below, you (the Recipient) agree with Juelz (the Company) as follows:
1. Confidential Information. All information in this partner and investor room — the investor deck, technical dossier, market and revenue analysis, financials, projections, product designs, source materials, pricing, strategy and any other non-public information, in any form — is confidential and proprietary to the Company.
2. Use. The Recipient will use the Confidential Information solely to evaluate a possible investment in, or commercial relationship with, the Company — and for no other purpose.
3. Non-disclosure. The Recipient will keep the Confidential Information strictly confidential, will not disclose it to any third party, and will not copy, screenshot, record, distribute, publish or reproduce it, in whole or in part, without the Company’s prior written consent.
4. Protection. The Recipient will protect it with at least the same care it uses for its own confidential information, and will limit access to advisers who need it and are bound by equivalent obligations.
5. No rights. Nothing here grants the Recipient any licence or right in the Confidential Information or the Company’s intellectual property. All rights remain with the Company.
6. No obligation & no warranty. Neither party is obligated to proceed with any transaction. The Company makes no warranty as to the accuracy or completeness of any information; the Recipient relies on it at its own risk.
7. Return / destruction. On request, the Recipient will stop using and will destroy or return all Confidential Information.
8. Term. These obligations continue for five (5) years from signature, and indefinitely for anything that is a trade secret.
9. Governing law. This undertaking is governed by the laws of the Republic of South Africa.
By signing, you confirm you have read, understood and agree to this undertaking. Your electronic signature, date, time, IP address and device are recorded as evidence of acceptance.
